Karoobar Terms of Service

Karoobar is a business management platform designed to help shops, retailers, service providers, and other businesses manage day-to-day operations.

Depending on the features available to your account, Karoobar may provide functionality such as billing and invoicing, inventory and stock management, customer and supplier records, credit or ledger management, expenses and payments, business reports and insights, QR catalogues and customer orders, AI-powered business assistance, notifications, and communication through services such as WhatsApp.

Karoobar is operated by BuildUnic.

You must be legally capable of entering into an agreement under applicable law to use Karoobar.

If you are using Karoobar on behalf of a business or organisation, you confirm that you have the authority to accept these Terms on behalf of that business or organisation.

You are responsible for ensuring that your use of Karoobar complies with all laws and regulations applicable to your business.

To use certain features, you may need to create an account and provide information such as your name, business name, contact details, business address, tax details, payment information, or other business-related information.

You agree to provide accurate and current information and keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.

If you suspect unauthorised access to your account, you should contact us as soon as possible.

Karoobar may allow you to enter, upload, generate, or store information including products, services, inventory, customers, suppliers, invoices, payments, expenses, credit records, orders, and other business information.

You retain ownership of the business data you provide to Karoobar.

You grant BuildUnic permission to process, store, transmit, and use this data only as necessary to operate, maintain, secure, and improve the Karoobar service and as described in our Privacy Policy.

You are responsible for ensuring that you have the right to provide any information you enter into Karoobar, including customer or supplier information.

If you store or process information relating to your customers, employees, suppliers, or other individuals through Karoobar, you are responsible for obtaining any permissions, notices, or consents required by applicable law.

You must not use Karoobar to collect or process personal data unlawfully.

Karoobar may provide tools for creating bills, invoices, tax calculations, payment records, and financial reports.

You are solely responsible for verifying the accuracy of invoices, tax rates, GST information, HSN/SAC codes, financial records, and other information generated or entered through Karoobar.

Karoobar is a business management tool and is not a substitute for professional accounting, tax, legal, or financial advice.

You remain responsible for complying with applicable tax, accounting, invoicing, record-keeping, and regulatory requirements.

Inventory levels, stock alerts, profit calculations, reports, and other business information shown in Karoobar depend on the accuracy and completeness of the data entered into the system.

BuildUnic does not guarantee that inventory, accounting, financial, or business calculations will always be error-free.

You should verify important business records before relying on them for financial or operational decisions.

Karoobar may provide AI-powered features such as business summaries, suggestions, analysis, automated actions, natural-language queries, or other assistance.

AI-generated output may occasionally be incomplete, inaccurate, outdated, or unsuitable for a particular business situation.

You are responsible for reviewing AI-generated information before relying on it or using it to make business, financial, legal, inventory, customer, or operational decisions.

Where Karoobar requests confirmation before performing an AI-assisted action, you are responsible for reviewing the action before confirming it.

Karoobar may allow businesses to send invoices, payment reminders, order updates, notifications, or other messages through third-party communication platforms such as WhatsApp.

Your use of these services may also be subject to the terms, policies, and requirements of the applicable third-party provider, including Meta and WhatsApp.

You are responsible for ensuring that recipients have provided any required consent or opt-in before receiving messages.

You must not use Karoobar for spam, unsolicited bulk messaging, abusive communication, misleading promotions, or any activity that violates WhatsApp, Meta, or other applicable messaging policies.

Delivery of messages is not guaranteed and may depend on third-party systems outside BuildUnic’s control.

Karoobar may integrate with third-party payment providers or allow businesses to record payments made through cash, UPI, cards, bank transfers, or other methods.

BuildUnic does not process or control payments handled directly by third-party payment providers unless explicitly stated.

Third-party payment services are governed by their own terms and privacy policies.

BuildUnic is not responsible for payment failures, delays, chargebacks, banking issues, or other problems caused by external payment providers.

Some Karoobar features may be free, while others may require a paid subscription, credit package, or other payment.

Prices, plan limits, features, and billing periods may be displayed within Karoobar or on our website.

We may modify pricing or plan features in the future. Where required, we will provide reasonable notice before changes apply to an existing paid subscription.

Unless required by applicable law or expressly stated otherwise, payments for consumed subscription periods, credits, or services may be non-refundable.

You agree not to use Karoobar to:

• violate any law or regulation;
• infringe intellectual property or privacy rights;
• send spam or fraudulent communications;
• distribute malware or harmful content;
• attempt unauthorised access to systems or accounts;
• interfere with the security or operation of Karoobar;
• reverse-engineer or misuse the service except where permitted by law; or
• use the platform for fraudulent, deceptive, illegal, or abusive activity.

We may restrict or suspend access where we reasonably believe an account is being used in violation of these Terms or applicable law.

Business owners may be able to create staff accounts and assign access permissions.

The business owner is responsible for selecting appropriate permissions and for actions taken by staff members using the business account.

BuildUnic is not responsible for losses resulting from permissions granted by the account owner to staff or other authorised users.

Karoobar may integrate with or rely on third-party services such as cloud hosting providers, messaging platforms, storage providers, analytics services, maps, payment providers, AI providers, authentication services, and other technology providers.

We do not control these third-party services and cannot guarantee their uninterrupted availability.

Your use of third-party services may be subject to their respective terms and policies.

We aim to keep Karoobar reliable and available, but we do not guarantee uninterrupted or error-free operation.

The service may occasionally be unavailable because of maintenance, updates, technical failures, internet or network issues, third-party outages, security incidents, or events beyond our reasonable control.

We may modify, improve, replace, or discontinue features as the service evolves.

Karoobar may provide cloud storage, synchronisation, export, or backup-related functionality.

While we take reasonable measures to protect and maintain data, you should maintain your own copies of important business records where appropriate.

Karoobar, including its software, design, branding, logos, interface, features, documentation, and related intellectual property, is owned by or licensed to BuildUnic.

These Terms do not transfer ownership of Karoobar or its intellectual property to you.

You may use the service only for its intended business purposes and in accordance with these Terms.

If you provide suggestions, ideas, or feedback regarding Karoobar, you allow BuildUnic to use that feedback to improve the service without an obligation to compensate you.

You may stop using Karoobar at any time.

We may suspend, restrict, or terminate access where reasonably necessary because of a violation of these Terms, fraudulent or illegal activity, security risk, abuse of the service, non-payment of applicable charges, or requirements imposed by law or third-party service providers.

Where reasonable and permitted, we may provide notice before termination.

Karoobar is provided on an “as available” basis.

To the extent permitted by applicable law, BuildUnic does not guarantee that the service will always be uninterrupted, error-free, completely secure, or suitable for every business requirement.

Business reports, AI outputs, calculations, forecasts, recommendations, inventory information, and other information provided through Karoobar should be independently reviewed where important decisions depend on them.

To the maximum extent permitted by applicable law, BuildUnic will not be responsible for indirect, incidental, special, consequential, or business losses arising from the use of or inability to use Karoobar.

This may include loss of profits, revenue, business opportunities, goodwill, or data.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

To the extent permitted by law, you agree to be responsible for claims, losses, or liabilities resulting from your unlawful use of Karoobar, your violation of these Terms, your misuse of customer or third-party data, or your violation of third-party rights.

We may update these Terms as Karoobar develops or as legal, technical, or operational requirements change.

When significant changes are made, we may provide notice through the app, website, email, or another appropriate method.

The “Last Updated” date at the top of this page indicates when these Terms were most recently revised.

These Terms are governed by the laws of India.

Any dispute relating to these Terms or Karoobar will be subject to the jurisdiction of the competent courts in Rajasthan, India, unless applicable law requires otherwise.
